A freind of mine has a MQ 5 speed with a 3.3 deisel motor non turbo, he is wondering if a TD4.2 would bolt up to the bell housing and or what problems would he find with this type of conversion.

Pretty sure that the gearbox won't bolt up to the TD-42. In any case its probably not worth it. the marginal increase you would get in performance by fitting the 4.2 would easily be matched by an injector and pump overhaul and maybe a turbo for the 3.3 (and probably would be cheaper too).
you gotta remember the MQ is a 20+ year old car at minimum, why put $5k an engine swap (those 4.2s arent cheap if you can get one), then you wish you had coils, or you wish you had air con, when you could just upgrade to a 4.2 GQ without the months worth of nights in the shed for the same coin...
